Terms Of Service
Contract for Services
PURPOSE OF THE AGREEMENT
The following contract and its terms will set forth an agreement between 360 Video Booth Party (the provider) and yourself (the client). This written contract sets forth the full, written intention of both Parties and supersedes all other written and/ or oral agreements between the parties.
TERMS
Services
The provider will arrive approximately 30-60 minutes prior to your requested start time on the date of your rental. Provider agrees to have a photo booth operational for a minimum of 85% during this period; occasionally, operations may need to be interrupted for maintenance of the Video Booth (changing battery packs, adjusting camera, adjusting lighting etc., when applicable.) to achieve a quality product. The provider is responsible for drop off, set up and clean up. The provider will provide support services to guests while maintaining an energetic and safe environment.
Location & Delivery of Services
Location. Provider shall deliver Services to Client at the following location(s): The venue name and venue location will be further discussed via email.
Delivery of Services. Client will arrange for access to the event space and will supply any necessary tickets, badges or other items needed for entry to the Provider at the Client's expense. Client will arrange for an appropriate space for the Video Booth at the event’s venue. The video booth requires a space 12’ deep x 12’ wide x 12’ high. Client is responsible for ensuring power is available for the Photo Booth. Provider will provide all Services by (date of discussion) unless otherwise specified in this Agreement.
Cost, Fees and Payment
Cost. To fully secure your event date a 50% deposit must be made. Client shall pay the deposit to Provider as follows:
The first payment is a 50 % non-refundable retainer. At a minimum, Client agrees that the retainer fee fairly compensates Provider for committing to provide the Services and turning down other potential events/clients.
Exclusivity
Exclusivity. Client understands and agrees that he or she has hired Provider exclusive of any other service provider. In order to provide a high level of satisfaction and quality of service, no other service providers, other than any assistant or third party that Provider hires to complete the Services outlined in this Agreement, are permitted to provide the same or similar services or products, paid or unpaid, at the locations and dates specified in this Agreement. Excludes photographers and videographers for event.
Intellectual Property
Permitted Uses of Product(s). Provider grants to Client a non-exclusive license of product(s) produced with and for Client for personal use only so long as Client provides Provider with attribution each time Client uses Provider's property. Personal use includes, but is not limited to, use within the following contexts:
In photos on Client’s personal social media pages or profiles; or
In personal creations, such as a scrapbook or personal gift; or
In personal communications, such as a family newsletter or email or holiday card.
Media Release. Client hereby agrees to, and understands that all guests using the video booth hereby give to Provider the right and permission to copyright and use, photographic portraits or pictures of any photo booth user who may be included intact or in part, made through any and all media now or hereafter known for illustration, art, promotion, advertising, trade, or any other purpose. In addition, I, hereby release, discharge and agree to hold harmless Provider, from any liability, that may occur or be produced in the taking of said picture or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy.
Artistic Release
Style. Client has spent a satisfactory amount of time reviewing Provider's work and has a reasonable expectation that Provider will perform the Services in a similar manner and style unless otherwise specified in this Agreement.
Consistency. Provider will use reasonable efforts to ensure Client's desired Services are produced in a style and manner consistent with Provider current portfolio and Provider will try to incorporate any reasonable suggestion made by Client. However, Client understands and agrees that:
Every client is different, with different tastes, budgets, and needs;
Provider services are often a subjective art and Provider has a unique vision, with an ever-evolving style and technique;
Provider will use its artistic judgment when providing Services for Client, which may not include strict adherence to Client’s suggestions;
Although Provider will use reasonable efforts to incorporate Client’s suggestions and desires when providing Client with the Services, Provider shall have final say regarding the aesthetic judgment and artistic quality of the Services;
Dissatisfaction with Provider's aesthetic judgment or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned.
Attire Provider's staff will be presented in black or gray polo shirts depicting our company name & logo with black or khaki pants or shorts.
Limit of Liability
Damage to Providers Equipment. Client acknowledges that it shall be responsible for any damage or loss to the Provider’s Equipment caused by:
a) Any misuse of the Provider’s Equipment by Client or its guests.
b) Any form of theft or disaster including but not limited to fire, floods or an earthquake
Maximum Damages. Client agrees that the maximum amount of damages he or she is entitled to in any claim relating to this Agreement or Services provided in this Agreement may exceed the Total Cost of Services provided by Provider.
Loss of Product. In the event that any or all product(s) are lost, such as damage to or loss of a component of the product necessary for final delivery, Provider shall refund Client a pro-rated portion of the Total Cost based on the amount of Services that were completed/provided against the amount of Services that were agreed to be completed/provided.
Right to Safe Work Environment. The client further acknowledges the provider shall have the express right to decline services to client’s guests either invited or uninvited, for misuse, inappropriate photos and or unruly behavior. This incudes threats of violence, or any harassments sexual, racial, or otherwise in nature. If provider feels unsafe, the session will IMMEDIATELEY come to an end and the client WILL NOT receive a refund. 360 Video Booth Party has a zero tolerance for ungracious behavior.
Internet Access When applicable, the Provider's Photo booth requires reliable access to Internet connection when sending Image files instantly. In the event that the Internet is not available, SMS and Email will queue all submissions and be sent once the Internet becomes available. Client understands that the Provider is not responsible for Internet Reliability and cannot guarantee that reliable Data Signals will be available in all locations. If no coverage becomes available at the event location, the Provider will send all digital copies to the Client and guests within 24 hours of the rental conclusion.
Cancellation and Rescheduling
Cancellation, Rescheduling of Services. If subsequent to this Agreement, the Client changes the date of the service, The Provider will make best efforts to accommodate the Client and provide services on the changed date. If the Provider is not available on the new event date, the Provider shall be entitled to keep the initial retainer, or 50% of the total Service Fee and neither party shall have any further liability or obligation under this Agreement. If Client reschedules the event, and the new date is in the following calendar year, any new pricing in effect at that time shall apply and will be included in the Client invoice.
If Client cancels the event or this Agreement, Client shall immediately notify the Provider of such cancellation in writing within at least 14 days. The client will NOT be refunded.
Severability. If any portion of this Agreement is deemed to be illegal or unenforceable, the remaining provisions of this Agreement remain in full force.
Merger. This Agreement constitutes the final, exclusive agreement between the parties relating to the event and Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matters contained in this Agreement are expressly merged into and superseded by this Agreement.
Amendment. The parties may amend this Agreement only by the parties’ written consent via proper Notice.
